Acceptance of Terms of Service

PLEASE READ THESE TERMS CAREFULLY.

The following Terms of Service apply to your use of the Lawexa Services unless your use of the Lawexa Services is subject to terms of service as executed between you and Lawexa.

Welcome to Lawexa

Lawexa services are offered by Law Guide Technology Limited (“the Company” or “we” or “us”), a company incorporated in Nigeria to provide legal education and technology services.

This document contains the Terms of Service (the “Terms”) governing your use of Lawexa’s services, artificial intelligence technologies (“AI Services”), websites, applications, add-ons, plug-ins, components, functionality, and programs, and any other services specified in any mutually executed order form (collectively, “Lawexa” or “Lawexa Services” or “Services”).

The “Subscription Agreement” shall consist of these Terms, price schedule, if any, and any order form(s) for the Lawexa Services executed by Lawexa and you (“you” or “User”). These Terms include the Lawexa Privacy Policy and any other documents that specifically incorporate these Terms. We may revise and update these Terms from time to time at our sole discretion. Any changes are effective when we post them.

By signing up or using Lawexa or its Services, whether as a guest or a registered user, you accept and agree to these Terms. Please read these Terms as well as the Privacy Policy carefully before you start to use Lawexa. If you do not agree to these Terms or the Privacy Policy you must not access or use Lawexa.

Changes to Lawexa

While we hope to always offer Lawexa services, we reserve the right to change or cease offering Lawexa services or any part, portion or functionality of Lawexa without notice. We will not be liable if for any reason all or any part of Lawexa is unavailable at any time.

Your continued use of Lawexa following the posting of revised Terms means that you accept and agree to the changes.

Information About You and Your Access to Lawexa

All information we collect on or through Lawexa is subject to our Privacy Policy. By using Lawexa, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.

Permitted and Unpermitted Use

These Terms allow you to use Lawexa in accordance with these Terms for either your personal and non-commercial use. All rights not expressly granted to you are reserved by Law Guide Technology Limited. You agree you are not permitted and will not use Lawexa as follows:

  • in any way that violates any federal, state, local or international law or regulation;
  • to impersonate or attempt to impersonate any company or person, including Law Guide Technology Limited or another Lawexa user;
  • to engage in any other conduct which, as determined by us, may harm Law Guide Technology Limited or users of Lawexa or expose them to liability;
  • in any manner that could disable, overburden, damage, or impair Lawexa or interfere with another’s use of Lawexa;
  • use any robot, spider, or other automatic device, process, or means to access Lawexa for any purpose, including monitoring or copying any of the material on Lawexa;
  • to introduce any viruses, Trojan horses, worms, logic bombs, or other material which is malicious or technologically harmful;
  • to attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of Lawexa or any server, computer, or database connected to Lawexa;
  • to attack Lawexa via a denial-of-service attack or a distributed denial-of-service attack; and
  • otherwise attempt to interfere with the proper working of Lawexa

Except as otherwise provided in this Terms, the User shall not and shall not permit others to:

  • Reproduce, modify, translate, enhance, decompile, disassemble, reverse engineer or create derivative works of any of the Services;
  • Sell, license, sublicense, rent, lease, distribute, copy, publicly display, publish, adapt or edit any of the Services; or
  • Circumvent, or disable any security or technological features of the Services.

You also agree that you will not send, knowingly receive, upload, download, use, or re-use any material which, as determined by Law Guide Technology Limited in its sole discretion:

  • contains any material which is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory or otherwise objectionable;
  • promotes sexually explicit or pornographic material, violence, or discrimination on any basis, including that based on race, sex, religion, nationality, disability, sexual orientation, or age;
  • infringes any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person;
  • violates the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations; or
  • promotes any illegal activity, or advocates, promotes, or assists any unlawful act;
  • involves commercial activities or sales, such as contests, sweepstakes and other sales promotions, barter or advertising; and
  • gives the impression that the material emanates from or is endorsed by Law Guide Technology Limited or any other person or entity, if this is not the case.

User Content

Lawexa contains interactive features that allow users to post, submit and publish content or materials (collectively, “User Content”) on or through Lawexa.

“User Content” means any and all information, content and data that a User submits to, uploads to, or uses with, the Services. We do not claim ownership of your User Content. You are solely responsible for your User Content. You assume all risks associated with use of your User Content. You hereby represent and warrant that your User Content does not violate any User obligations as specified in these Terms nor does your User Content violate any law or infringe any rights of any third party, including but not limited to any intellectual property rights and privacy rights. We take no responsibility and assume no liability for any of your User Content.

We do not undertake to review User Contents or any other material before it is posted on or through Lawexa, and cannot ensure prompt removal of objectionable material after it has been posted. So, we assume no liability for any action or inaction regarding transmissions, communications or content provided by any user or third party.

By providing any User Content on or through Lawexa, you grant us and our service providers, and each of their and our respective licensees, successors and assigns, an irrevocable, perpetual, transferable, sublicensable (through multiple tiers), fully paid, royalty-free, and worldwide right and license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material in order (a) to maintain and provide the Services; (b) to improve our products and services and to create aggregated and de-identified information; and (c) to perform such other actions as described in our Privacy Policy or in connection with your use of the Services. You represent and warrant that you own or control all rights in and to the User Contents and have the right to grant this license and that all of your User Contents do and will comply with these Terms. We are not responsible, or liable to any third party, for the content or accuracy of any User Contents posted by you or any other User of Lawexa.

In the event User provides us with any suggestions, ideas, improvements or other feedback with respect to any aspect of the Services (“Feedback”), We shall own such Feedback without compensation to User, attribution of any kind, or any other obligation to User.

Trial Offers, Auto-Renewals and Paid Accounts

We may make portions of the Services available on an automatically renewing subscription basis (each, a “Subscription” for the Services) for recurring fees (“Subscription Fees”). For the most current information about our website at www.lawexa.com.

Your Subscription will automatically renew at the end of the term identified in your Subscription Agreement for subsequent terms equal in length to the initial term (the initial such term and each renewal term, a “Subscription Term”) unless and until you cancel your Subscription or it is suspended, discontinued or terminated in accordance with these Terms. Except as otherwise set forth in an applicable Subscription Agreement, all Subscription Fees are immediately due and payable in advance at the start of each Subscription Term. By accepting these Terms and/or the continued use of the Lawexa site, the User represents and warrants:

  • You agree to pay all Subscription Fees with your credit card, debit card, or other payment method. You must provide us with a current, valid, accepted payment method.
  • When you initiate a payment transaction, you authorize us to provide your payment information to third parties so we can complete your transaction and charge your payment method in Nigerian Naira. We currently use Paystack and Apple Pay as our third-party service payment processors, and by using our Services you agree to be bound by their respective Services Agreement, available at paystack.com and apple.com respectively.
  • Lawexa may, at its sole discretion, make available trial offers and limited use to new or existing Users who provide a valid payment instrument, such as a debit card or other electronic payment method.
  • Any use of additional Services beyond those included in the trial offer will require a subscription for those Services or an upgrade to a higher subscription plan before the end of the trial offer period.
  • Lawexa reserves the right to automatically charge the User at the end of the trial or for a Subscription Term unless the User gives notice of intention to cancel his/her subscription. In order to cancel your Subscription, you must notify us at least three (3) days before the start of the next Subscription Term using the appropriate functionalities of the Services or by contacting us at support@lawexa.com. You will continue to have access to the Services through the end of the Subscription Term.
  • To enable the User to conveniently purchase additional products and services, Lawexa will store and update (e.g. upon expiration) User payment information.
  • If Lawexa is unable to charge the Users designated payment method for any reason, Lawexa reserves the right to automatically convert User’s paid plan to a PAYGO account or to suspend the paid membership until the designated payment method can be charged again.
  • For the avoidance of doubt, it is the User’s responsibility to maintain current billing information with Lawexa.

Payment Obligations:

  • Upon the confirmation of a transaction on Lawexa, the User agrees to be bound by and pay for any such transaction. User is enjoined not to commit to a transaction unless able and ready to pay for and have confirmation of successful payment.
  • User warrants that all payment information provided is accurate, not misleading and not fraudulent in any respect; and all payment transactions for Lawexa are final; and non-refundable.
  • To prevent financial loss or possible violations of the law, Lawexa reserves the right to in its discretion disclose details of any payment associated with or made by the User, with law enforcement agencies, or impacted third parties (including other users)
  • User agrees and confirms that User will not use Lawexa in violation of any law in force in the Federal Republic of Nigeria or such other law which may occasion liability of any sort on Lawexa.
  • Value Added Tax (VAT) or any other such taxes may be applied for each service conducted on the site.
  • Fees and charges (where applicable) may be applied for each payment transaction conducted on the Site.

Refund Policy:

  • Lawexa desires the optimum satisfaction of the User regarding services provided on the Site. If the User believes there has been an error in billing, User should contact us by email at support@lawexa.com immediately so that any issue may be resolved and where deserving.
  • The decisions on refunds for complaints shall be determined at the sole discretion of Lawexa.
  • When communicating all complaints, User should include all details relating to the exact plan paid for.
  • Refund requests must be made within 3(Three) days of payment for service.

Termination of Subscription, Membership and Access Restriction:

  • Lawexa reserves the right, in its sole discretion, to downgrade or terminate your access to its services, for any reason and at any time without prior notice.
  • Lawexa reserves the unilateral right to modify or discontinue, either temporarily or permanently, any part of the Services with or without notice to the User.
  • The User agrees that Lawexa will not be liable to the User or any third party claiming through the User for any modification, suspension, or discontinuance of the User’s subscription or membership or access on the Site.

Consent to Receive Emails:

By using Lawexa, you consent that you may receive email communications from Lawexa electronically, such as newsletters, special offers, account reminders, push notifications and updates concerning Law Guide Technology Limited, Lawexa or related affiliated third parties electronically.

You may discontinue receipt of these communications by informing us of your desire not to receive any further correspondences from us. Where such correspondences are received via email, you may unsubscribe by clicking the ‘Unsubscribe’ link in the footer of the actual email.

Account Security:

Lawexa allows users to create an account (“Members”) which requires providing certain information to Lawexa. You agree that all information you provide to become a Member and register with Lawexa, including, but not limited to, information provided through the use of any interactive features on Lawexa, is governed by our Privacy Policy, and you consent to all actions we take with respect to your information consistent with our Privacy Policy.

If you choose, or are provided with, a user name, password, or similar information as part of our security procedures, you agree to treat such information confidential, and agree to notify us immediately of any unauthorized access to or use of your user name or password or any other breach of security. We have the right to disable any user name, password or other identifier, whether chosen by you or provided by us, at any time if, in our opinion, you have violated any provision of these Terms.

Monitoring and Enforcement; Legal Compliance; Termination

You agree that we have the right to:

  • take any action with respect to any user, Member account or User Content that we deem necessary or appropriate in our sole discretion if we believe there to be a violation of these Terms, infringement of third party rights, a threat to the personal safety of others, or a threat or liability or harm to the goodwill associated with Lawexa or Law Guide Technology Limited;
  • take appropriate action, including without limitation, referral to law enforcement and disclosure of your information, for any illegal or unauthorized use of Lawexa; and
  • terminate or suspend your access to all or part of Lawexa for any or no reason, including without limitation, any violation of these Terms.

Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through Lawexa. YOU WAIVE AND HOLD HARMLESS LAW GUIDE TECHNOLOGY LIMITED AND ITS LICENSEES AND SERVICE PROVIDERS AND ALL OF THEIR EMPLOYEES, OFFICERS AND DIRECTORS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING OR AS A RESULT OF LEGAL INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY EITHER LAW GUIDE TECHNOLOGY LIMITED OR LAW ENFORCEMENT AUTHORITIES.

Your Reliance on Information:

The information presented on or through Lawexa is made available solely for general information purposes. While we have taken considerable effort to ensure the accuracy of the information supplied on this App, there may be errors, typographical or otherwise, or statements and/or sentences be incorrect. For the foregoing we do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by you or any other visitor to Lawexa, or by anyone who may be informed of any of its contents.

Intellectual Property Rights:

These Terms do not grant either party any rights, implied or otherwise, to the other’s content or intellectual property, unless expressly stated otherwise in these Terms. As between the parties, User owns all intellectual property rights in User Content (defined above), and Law Guide Technology Limited owns all intellectual property rights in and to the Services including all information, software, product, data, contents, icons, interfaces, databases, documentation, aggregated and statistical information and related works, including but not limited to any modifications and derivative works of the foregoing) and are protected by the Federal Republic of Nigeria and international copyright, trademark, patent, trade secret and other intellectual property or proprietary rights laws.

Without limiting the foregoing, no Content on the site may be copied, reproduced, duplicated, published, or distributed in any form or by any means whatsoever without the express prior written permission of Law Guide Technology Limited or the appropriate licensor or supplier.

Any feedback, questions, comments, suggestions, ideas, or the like you send to us will be treated as non-confidential and non-proprietary, and we will be free to use such information for any purpose whatsoever including developing, and marketing products and services incorporating the information. We may identify you as a User in our promotional materials. We will promptly stop doing so upon your request sent to support@lawexa.com.

Copyright in Legal materials:

Primary legal documents are matters of public record, and Lawexa is committed to making this information more widely accessible. For this reason (among others), we have no obligation to respond to or comply with takedown requests or complaints with respect to such public domain materials. That being said, and without limiting the foregoing, under certain circumstances and at our discretion, Lawexa may respond to requests to remove cases from its search engine results. To make such a request, either submit the details of your request, contact information, the URL for the judicial opinion in question, and the reason for you request to support@lawexa.com.

If you have reason to believe that any case was reported and published in error, please notify us immediately.

Third-Party Links and Services:

The Lawexa Services may have links to third-party websites, content providers, advertisers, services, special offers, or other events or activities that are not owned or controlled by us. We do not endorse or assume any responsibility for any of these third party websites, materials, products, or services. If you access a third-party website from Lawexa Services, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of those sites. You relieve Us from any and all liability arising from your use of third-party websites, services, or content.

No legal advice:

All content is for general informational and academic purposes only, and should not be taken as professional advice. In particular, We or Lawexa do not provide legal advice. There is no attorney-client relationship between you and us, regardless of whether you are a Lawexa subscriber. While User Content is subject to an internal moderation process, we do not review Lawexa for accuracy or legal sufficiency, we do not draw legal conclusions, and we do not apply the law to any particular set of facts or situation you may encounter. Lawexa is not regulated by any state or National Bar Association. In using Lawexa, you indicate your understanding that Lawexa does not provide legal advice and is not engaging in the practice of law. YOU SHOULD NOT ACT OR REFRAIN FROM ACTING ON THE BASIS OF ANY CONTENT INCLUDED ON LAWEXA OR IN CONNECTION WITH THE SERVICES WITHOUT SEEKING THE ADVICE OF A COMPETENT PROFESSIONAL IN THE APPLICABLE SUBJECT MATTER. AI Services:

You and your end users are responsible for all decisions made, advice given, actions taken, and failures to take action based on your use of AI Services. AI Services use machine learning models that generate predictions based on patterns in data. Output generated by a machine learning model is probabilistic and should be evaluated for accuracy as appropriate for your use case, including by employing human review of such output.

Disclaimer of Warranties:

YOUR USE OF LAWEXA, ITS CONTENT AND ANY FUNCTIONALITY, SERVICES OR ITEMS OBTAINED THROUGH LAWEXA IS AT YOUR OWN RISK, ALL OF WHICH ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER LAW GUIDE TECHNOLOGY LIMITED NOR ANY PERSON ASSOCIATED WITH LAW GUIDE TECHNOLOGY LIMITED MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY OR AVAILABILITY OF Lawexa. LAW GUIDE TECHNOLOGY LIMITED HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING BUT NOT LIMITED TO ANY WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT AND FITNESS FOR PARTICULAR PURPOSE.

THE FOREGOING DOES NOT AFFECT ANY WARRANTIES WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Limitation on Liability:

IN NO EVENT WILL LAW GUIDE TECHNOLOGY LIMITED, ITS LICENSORS, SERVICE PROVIDERS, OR ANY OF THEIR EMPLOYEES, AGENTS, OFFICERS OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, Lawexa, ANY WEBSITES LINKED TO IT, ANY CONTENT OFFERED ON OR THROUGH Lawexa OR SUCH OTHER WEBSITES OR ANY SERVICES OR ITEMS OBTAINED THROUGH Lawexa, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT OR OTHERWISE, EVEN IF FORESEEABLE.

THE FOREGOING DOES NOT AFFECT ANY LIABILITY WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

Indemnification:

You agree to defend, indemnify and hold harmless Law Guide Technology Limited, its affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of Lawexa, including, but not limited to, your User Contents, any use of Lawexa content, services and products other than as expressly authorized in these Terms or your use of any information obtained from Lawexa.

Governing Law and Jurisdiction

READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO MEDIATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM US.

You agree that the laws of the Federal Republic of Nigeria govern these Terms of Service, and any claim or dispute that you may have against us, without regard to conflict or laws rules.

You further agree that any and all disputes, claims or litigation arising from or related in any way to these Terms of Service or any provisions herein will be resolved by mediation at the Lagos Multi Door Court House, Lagos State, Nigeria. Where such dispute persists, it shall then be resolved by reference to a Nigerian Courts in Lagos State. The parties hereby waive any objections against and expressly submit to the exclusive jurisdiction of the Nigerian Courts in Lagos State.

Waiver and Severability:

Law Guide Technology Limited may only waive its rights under these Terms in writing. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of these Terms will continue in full force and effect.

Entire Agreement:

These Terms and our Privacy Policy constitute the sole and entire agreement between you and Law Guide Technology Limited with respect to Lawexa and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to Lawexa.

Termination:

We reserve the right to terminate your use of the Site if you violate these Terms of Service, laws in operation in Nigeria or any rules or guidelines posted on the Site or for any other reason in our discretion.
